Amendments to the PayPal User Agreement
Effective: 13 January 2025

• We are updating the “Your use (as a seller) of personal data; Data protection laws” section of the PayPal User Agreement to remove any duplicative language and improve clarity.
• We are clarifying that merchants are permitted to share customer personal information provided to them by PayPal with their service providers. We are also asking that merchants acknowledge they have the rights and authorities to share personal data with PayPal. This is a requirement under existing user agreement for merchant to comply with applicable data protection laws.

Amendments to the PayPal Seller Protection Program
Effective: 13 January 2025

• We are revising the ‘Basic Requirements’ for the Seller Protection program to include integration requirements for sellers who have integrated a PayPal Checkout product with their website.

• We are revising PayPal’s Seller Protection Program to extend eligibility to Guest Checkout transactions received by accounts registered in certain markets.

Amendments to the PayPal Online Card Payment Services Agreement
Effective 13 January 2025:

• The Advanced Credit and Debit Card Payments suite of functionality may offer the ability to process network tokens generated by third-parties as an add-on feature. We’re revising our terms to indicate that if you choose to use such add-on feature, you agree that PayPal will under no circumstances be responsible nor liable for damages, losses or costs as a result of using such functionality.
• We are introducing new terms and fees for Advanced Credit and Debit Card Payment users who opt in to be charged under the Interchange Plus Plus Fee Structure.

Amendments to the PayPal Online Card Payment Services Agreement

Effective: June 13, 2024

• The Advanced Credit and Debit Card Payments suite of functionality may include the ability to integrate eligible third-party wallets as add-on features. We’re revising our terms to indicate that if you choose to integrate such add-on features, you agree to the applicable third-party terms via your acceptance of the PayPal Online Card Payment Services Agreement. Such acceptance includes your acknowledgement and agreement that such third-party features and terms are provided, updated, and noticed solely by the relevant third party and not by PayPal.
• We are adding terms and conditions for the American Express Card Acceptance, which will be provided as part of the Advanced Credit and Debit Card Payments suite of functionality.
• We are adding Account Updater functionality terms and conditions. This functionality may be provided as part of the Advanced Credit and Debit Card Payments suite of functionality from 31 July 2024 to eligible merchants. Account Updater will allow eligible merchants to update their customers’ eligible card data stored with PayPal to enable seamless processing for recurring payments and other eligible transactions in the future.
• We are clarifying certain provisions relating to vaulting functionality.

• SOFORT is no longer available as an alternative payment method and is removed from the list of alternative payment method providers contained in Annex 1 of the PayPal Alternative Payment Methods Agreement.

Amendments to the PayPal Buyer Protection Program

Effective June 13, 2024:

• We are revising PayPal’s Buyer Protection Program to exclude Non-Fungible Tokens (NFTs) from eligibility.
• In addition to meeting all other eligibility requirements for PayPal’s Buyer Protection Program, disputes asserting Significantly Not as Described claims must be opened by the buyer in the Resolution Center within 30 days of the delivery or fulfillment of an order or within 180 days of the date a payment was sent by the buyer to the seller, whichever is sooner. The timeframes for opening other disputes asserting other claim types (including Item Not Received, Unauthorized Transactions, or other errors) are not changing at this time.

Amendments to the Seller Protection Program

Effective June 13, 2024:

• We are revising PayPal’s Seller Protection Program to exclude from eligibility Non-Fungible Tokens (NFTs) with a transaction amount of:
  • $10,000.01 USD or above (or equivalent value in local currency as calculated at the time of the transaction);
  • $10,000.00 USD or below (or equivalent value in local currency as calculated at the time of the transaction), unless the buyer claims it was an Unauthorized Transaction and the transaction meets all other eligibility requirements.

Amendments to the PayPal User Agreement
Effective February 1, 2024:

• We are revising the User Agreement to indicate the payment a seller receives from a buyer may be invalidated and reversed if the seller fails to respond or provide accurate and complete information to PayPal related to the buyer’s claims or chargebacks for such transaction within the timeframe communicated to the seller by PayPal.

Effective February 1, 2024:

• We are revising PayPal’s Seller Protection Program to exclude from eligibility Item Not Received claims filed by buyers as chargeback claims with their card issuers for card-funded transactions.

Amendments to the PayPal Payouts Terms and Conditions
Effective February 1, 2024:

• The PayPal Payouts Terms and Conditions are being updated to clarify existing product functionality, including:
  • Eligibility requirements for recipients of payouts to successfully receive payouts
  • Clarifying the respective responsibility of PayPal and senders with regard to payouts made using the PayPal Payouts product
• In addition, the updates provide that:
  • PayPal may require evidence of express recipient consent to receive communications in connection with payouts
  • Customers must confirm that provision of information to PayPal does not constitute a sale of data to PayPal under applicable law
  • Customers may not imply PayPal or Venmo sponsorship or endorsement without prior permission; seek to obtain PayPal or Venmo user credentials

Changes to our notice practices

We will no longer be sending you, or other users in your market, emails about changes to our legal agreements unless we elect to do so as a courtesy. In accordance with our PayPal User Agreement, we will continue to post notice of changes which reduce your rights or increase your responsibilities on our Policy Updates page at least 14 days before such changes take effect. Please continue to check our Policy Updates page for such notices. By continuing to use our services after any such changes take effect, you agree to abide and be bound by those changes.

Amendments to the PayPal User Agreement

Effective 16 March 2022 we are:

• Revising PayPal’s Seller Protection program to expand the list of ineligible items to include certain Non-Fungible Tokens (NFTs) with a transaction amount of more than $10,000 USD.
• Updating the Dispute Fee and Restricted Activities terms to include actions we may take and the dispute fees we may assess if the seller engages in a Restricted Activity.

Amendments to the PayPal User Agreement

Effective 1 December 2021 we are:

• Relocating PayPal’s Buyer Protection program and Seller Protection program terms to separate web pages. These program terms are accepted at the time you agree to the User Agreement and remain part of the User Agreement. The relocation is intended to make the terms easier to locate and navigate.
• Revising PayPal’s Seller Protection program to clarify that proof of shipment and proof of delivery also must include an online verifiable tracking number.
• Clarifying that abuse of our online dispute resolution process, PayPal's Buyer Protection program, and/or PayPal’s Seller Protection program are restricted activities as defined under the user agreement.

Amendments to the PayPal User Agreement

Effective: 10 September 2021

• We are revising PayPal’s Seller Protection program to clarify eligibility for certain claims involving travel tickets sold by the travel carrier.
• We are requiring sellers to notify us of any pricing errors or discrepancies within sixty (60) days from having access to their account statement(s) or other account activity information.
• We are clarifying the types of costs used to calculate the reasonable minimum estimate that we may recover if you engage in any restricted activities.
• We are also clarifying the scenarios under which we may require you to provide further information or take additional steps in order to continue using your account for our compliance with anti-money laundering and counter terrorist financing laws and/or our internal risk management policies.

Amendments to the Alternative Payment Method Agreement

Effective: 10 September 2021

• We have added a section outlining the types of transactions and activities that are prohibited in relation to your use of an Alternative Payment Method.

Amendments to the PayPal Acceptable Use Policy

Effective: 10 September 2021

• We require you to provide a representation and warranty that you have obtained the requisite licences and approvals in order to conduct your activities for which you have engaged our PayPal services.
• We are revising the policy to clarify that violations may subject you to damages. We are also expanding the existing list of prohibited activities and clarifying the commercial activities requiring pre-approval.

• We are revising the Agreement to prohibit acceptance of payments for certain goods and services.

Amendments to the PayPal User Agreement

Effective: 31 May 2021

• We are further revising the listed exclusions to PayPal’s Buyer Protection and Seller Protection to be globally consistent and to further clarify which transactions are eligible for protection.
• We are increasing the fee you pay when withdrawing funds from your PayPal balance to your linked US bank account from 2.5% to 3%.

Amendments to the PayPal Advanced Credit and Debit Card Agreement

Effective: 31 May 2021

• We have changed the name of the PayPal Advanced Credit and Debit Card Agreement. The new name of this agreement is the PayPal Online Payment Services Agreement.
• Please see the section “About this Agreement” at the start of the PayPal Online Payment Services for more information about the services covered by the agreement.
• We have added terms to clarify how to use the PayPal Payment Button, and we have added terms to explain the use of the Recurring Billing and Recurring Payments features.
• We are updating our Proprietary Rights terms.

Amendments to the PayPal User Agreement

Effective: 26 February 2021

• We are revising the listed exclusions to PayPal’s Buyer Protection and Seller Protection to be globally consistent and to clarify which transactions are eligible for protection.
• We are revising PayPal’s Seller Protection so it does not apply where a seller ships a physical item or fulfills a purchase order more than two days after being notified by PayPal that the transaction is being disputed, reversed, or is otherwise unauthorised.
• We are clarifying our PayPal Payouts and Mass Pay services terms, including that they may only be used to make multiple or bulk payments, not individual or other ineligible payments, and that merchants are responsible for obtaining the applicable consents from their payout recipients.
• We are clarifying the terms that govern communications between you and PayPal.
• We are clarifying PayPal’s data protection roles and responsibilities in connection with the processing of personal data using the PayPal services.

Updates to the Online Agreements for PayPal Hong Kong Limited

Effective: 31 October 2020

We’re making the following changes to the User Agreement:

• We are updating the policies with which you agree to comply when you open and use a PayPal account.
• We are clarifying the circumstances under which Commercial Entity Agreements apply to business and personal accounts.
• We are establishing a dispute fee and its terms and conditions for sellers.

We’re making the following changes to the PayPal Advanced Credit and Debit Card Agreement (previously the Website Payments Pro Hosted Solution and Virtual Terminal Agreement):

• We have changed the name of the PayPal Website Payments Pro Hosted Solution and Virtual Terminal Agreement. The new name of this agreement is the PayPal Advanced Credit and Debit Card Agreement. PayPal Website Payments Pro Hosted Solution will now be referred to as “Advanced Credit and Debit Card Payments.” The new name of this agreement reflects this change.
• Please see the section “About this Agreement” at the start of the PayPal Advanced Credit and Debit Card Agreement for more information about the Products covered by the agreement.
• We are revising the notice provisions to better align with the PayPal User Agreement (including the amount of advance notice required for changes to the agreement).
• Fraud Protection is now an optional additional service in the Advanced Credit and Debit Card suite of functionality. We have set out the terms and conditions for our Fraud Protection product.
• We’re updating our data processing terms to change PayPal to reflect that PayPal is a data controller for payment processing and fraud services.

Making A Payment – Buyer Protection

In this section, we have re-introduced the PayPal Buyer Protection Policy into the user agreement and reworded its terms for global alignment.

Receiving Payments – Impact of PayPal Buyer Protection on Sellers

We have amended the wording in the "Impact of PayPal Buyer Protection on Sellers" sub-section: If you are a seller and lose a claim under PayPal Buyer Protection and the buyer’s claim was that the item received was Significantly Not as Described, you may not receive the item back, or you may be required to accept the item back and pay for the return shipping costs.

Receiving Payments – PayPal Seller Protection

As with PayPal Buyer Protection, in this section we have re-introduced the PayPal Seller Protection Policy into the user agreement and reworded its terms for global alignment.

3.5. Receiving Payments Through QR Codes in Person

We have introduced a new section 3.5. in our Fees Policy outlining the fees that will apply to (casual) sellers for receiving payments through our new QR code solution.

1. No additional fees for receiving international APM payments

We have amended section 3 (Using APM functionality) to clarify that the additional percentage-based fee for receiving international commercial transactions set out in the User Agreement does not apply when you receive APM payments.

Updates to the PayPal Acceptable Use Policy

Effective Date: March 19, 2020

1. Contact information

If you use your PayPal account primarily for the purposes of your trade, business, craft or profession and you violate the Acceptable Use Policy, then:

• in addition to being subject to the above actions you will be liable to PayPal for the amount of PayPal's damages caused by your violation of the Acceptable Use Policy;

• you acknowledge and agree that USD 2,500.00 (or the prevailing equivalent in the currency of the country in which you reside) per violation of the Acceptable Use Policy is:
  • a reasonable minimum estimate of PayPal's actual damages considering all currently existing circumstances, including the relationship of the sum to the range of harm to PayPal that reasonably could be anticipated;
  • reasonable and proportionate in its application to the provision of the Services to you; and
  • necessary, but no more than sufficient, to protect PayPal’s legitimate interest in your compliance with the Acceptable Use Policy; and

PayPal may deduct such damages directly from any existing balance in any PayPal account you control.

UPDATES TO THE FEES POLICY

With effect towards March 16^th, 2020 we make the following change to the Fees Policy:

4.3. Commercial Transaction Refund Fee

We have amended Section 4.3. the Fees Policy to reflect that going forward in the event of a refund of a Commercial Transaction, the fees originally paid to receive the payment are not returned.

For the avoidance of doubt, this applies to refunding received Commercial Transactions only, Personal Transaction are not affected by this amendment.

Updates to the User Agreement

Effective: 11 December 2019

We’re unveiling an entirely redesigned User Agreement for our customers. We’ve worked hard to make this new User Agreement a more user-friendly experience with content that makes it easier for you to understand your rights and obligations when it comes to using PayPal’s products and services.

Here’s what we’ve done:

1. We’ve redesigned the User Agreement to simplify its format, with new colour-coded headings so you can find the information most relevant to your account more easily. We’ve revised and reorganised the content of the User Agreement to be easier to follow and to include information where you’d naturally look for it. We’re not changing the meaning of what we say, only how we say it and where you can find it.

UPDATES TO THE PAYPAL USER AGREEMENT

With effect towards August 19, 2019 we make the following changes to the PayPal User Agreement:

3.1. Sending PayPal Payments

We have amended clause 3.1.d. on refused and reversed transactions, with a special focus on transactions which have been subject to a currency conversion:

4. Refused and Refunded Payments

We may allow the recipient of your payment to:

• refuse to accept it; or
• decide to accept it and then use the PayPal Services to send you a refund of all or any part of the amount of the payment later.

We will return the amount of any refused payment or refunded payment to your Balance. We will return the amount of an unclaimed payment to your Balance within 30 days after the date you initiated the payment.

If any amount of any payment is returned to you in any of the ways outlined above, we may convert the returned amount for you into either:

• the currency of the Balance you used for the original payment (before any conversion into the currency received by the recipient happened);
• the original opening currency of your PayPal Account.

If the original payment you sent involved a currency conversion we will convert the returned amount from the currency received by the recipient as follows:

• if the amount is returned within 1 day of the date of the original payment, we will use the transaction exchange rate applicable on the date of the original payment, so that you receive the original amount (including the currency conversion fee you paid) in the original currency you converted from for the original payment; and
• if the amount is returned after 1 day of the date of the original payment, we will use the transaction exchange rate applicable at the time of the conversion of the returned amount.

We may also automatically withdraw the returned amount from your Balance and transfer the funds back to the funding source you used for the original payment. Withdrawals can also involve a currency conversion.

We may decide to not charge your original Funding Source for the original payment in the first place if the amount is returned to your Balance as outlined above before the payment from your original Funding Source to PayPal to fund your original payment has settled.

The returned amount could be lower in value than your original payment amount. This can happen as a result of:

• the recipient sending you a refund lower in value than your original payment amount. As we are only a payment service provider, we cannot know what you are entitled to from the original payment recipient as a refund or why the recipient sent the refund in a particular amount; or
• transaction exchange rate fluctuations.

PayPal is not responsible for any loss resulting from the recipient's decision to refuse or refund your payment, except to the extent that a refund sent by the recipient is a payment executed incorrectly by PayPal.

3.2. Receiving PayPal Payments

e. Your Refund Policy, Data Protection, Privacy Policy and Security

For better overview, we have divided clause 3.2.e. into sub-clauses. With the exception of adding the new sub-clauses 3.2.e.i.., 3.2.e.ii., and 3.2.e.iii. and the respective headlines, we have not applied any further changes.

5. Fees and Currency Conversions

We have divided our previous clause 5.2. Currency Conversion into two sub-clauses (5.2. Currency Conversion and 5.3. Currency Conversion Choices), but did not make any change to the actual content.

With effect towards October 21, 2019 we make the following change to the Fees Policy:

4.1. Currency Conversion Fee

We will increase the Currency Conversion Fee according to clause 4.1. of the Fees Policy from 2.50% to 3.00% as well as some of the fees for other transactions as per the table below:

For currency conversions processed in your PayPal Account outside or prior to a Personal Transaction or a Commercial Transactions (including, but not limited to converting a Balance to another currency before withdrawal) as well as for transaction requiring a currency conversion for which the Seller has agreed to bear the Fee PayPal shall charge of Fee in an amount equal to 3.00% above the transaction exchange rate («Currency Conversion Fee») according to clause 5.2. of the PayPal User Agreement.

Other than that, clause 4.1. and all other provisions of the Fees Policy remain unchanged.

Updates to the PayPal User Agreement

PayPal may allow anybody to initiate a payment resulting in the issuance of transfer of E-Money to your PayPal Account. By integrating into your online checkout/platform any functionality intended to enable a payer without a PayPal Account to send a payment to your PayPal Account, you agree to all further terms of use of that functionality which PayPal will make available to you on any page on the PayPal or Braintree website (including any page for developers and our Legal Agreements page) or online platform. Such further terms include the PayPal Local Payment Methods Agreement.

Updates to the PayPal Buyer Protection Policy

We have made the following amendment to the PayPal Buyer Protection Policy:

In clause 5.1., we have changed the timelines from a fixed ten days to a more flexible timeline reflecting the individual case:

The Buyer must reply in a timely manner to any questions asked by PayPal in regards to the PayPal Buyer Protection Claim. PayPal may decline the Claim if the Buyer does not provide an answer within the stated timeframe. PayPal may extend this timeframe in case of extraordinary circumstances which are outside the control of the Buyer.
